Kinder Dispo
Terms of Service
1. Agreement and Operator
These Terms of Service ("Terms") are a binding agreement between the person or organization accepting them ("Customer," "you") and the operator of the Kinder Dispo service ("Kinder Dispo," "we"). Kinder Dispo is operated by Kinder Dispo, LLC, a North Carolina limited liability company. By selecting an acceptance checkbox, registering, subscribing, or using the service after presentation of these Terms, you agree to them and to incorporated policies. If you act for an organization, you warrant authority to bind it. You must be at least 18. These Terms govern business use, not a consumer reporting service.
2. Platform and Subscription Scope
Kinder Dispo is a subscription-based software-as-a-service platform for property and investor intelligence and deal marketing. Features, when made available under your plan, may include investor profiles, cash-buyer search, owner and LLC associations, acquisition histories, ownership and public-record information, property comps, valuation estimates, email addresses and telephone numbers, saved searches, exports, real estate deal listings, offers and counteroffers, and SMS/email campaign tools. Access to particular data and functions depends on the plan, applicable data licenses, eligibility, and technical availability. A subscription confers a limited access license, not ownership of data or guaranteed access to any particular person, record, buyer, or lead. We may improve or retire features, with notice of material adverse changes to paid plans as required by law.
3. Accounts, Seats, Verification and Security
Provide accurate account, identity, and billing information. Maintain credential security and promptly notify us of compromise. Each authorized user must have an individual seat where required; sharing logins, providing access to unrelated firms, reselling seats, and evading feature or export quotas are prohibited. You are responsible for activities of authorized users, except to the extent caused by our own acts or omissions. We may verify identity, business details, listing authority, sending domains and telephone registrations; decline accounts presenting legal or security risks; and monitor relevant technical activity under the Privacy Policy.
4. License and Proprietary Rights
During the paid term and subject to compliance, we grant a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access the service and use data for lawful internal real estate business purposes. Software, interface, algorithms, derived analytics, proprietary datasets, enrichment, and compilations belong to Kinder Dispo or its licensors to the extent protected by law. Underlying government records do not become our exclusive property merely because displayed here. Trademarks and product names remain their respective owners' property. No intellectual property rights transfer other than the limited license granted.
5. Data Access, Exports and Restrictions
You may research investment opportunities, evaluate comps, identify potential buyers, prepare listings and use authorized exports within the allowances disclosed in your plan. You may share limited transaction-specific information with bona fide counterparties, professional advisers and service providers to pursue a legitimate transaction, subject to law and third-party restrictions. Without written permission you may not scrape, bulk harvest, reconstruct, resell, sublicense, distribute as a database, publish as a data product, train a competing data or AI service on, or systematically enrich another commercial investor intelligence product using our data. You may not bypass rate limits, seats, access controls or security tools. An authorized export does not authorize unlimited subsequent redistribution. Information independently sourced by you, your original records, and legally required records remain yours. API or white-label use requires a separate written agreement.
6. Personal Data Restrictions and Sensitive Uses
Telephone numbers, emails, names, ownership records and inferred investor profiles can constitute personal information even when associated with public records. Access does not establish consent for outreach or authorization for every use. You must comply with applicable privacy, marketing, anti-discrimination, and data security laws. You may not use Platform information for employment, tenant, lending, insurance or other eligibility decisions regulated by the Fair Credit Reporting Act; to determine creditworthiness or consumer eligibility; or for stalking, harassment, unlawful surveillance, discriminatory profiling, identity theft or other harmful or unlawful uses. The Platform is not offered as a consumer reporting agency or consumer report. Notify us promptly of a suspected improper disclosure involving our data.
7. Data Quality, Comps and No Professional Advice
Data may derive from recorded deeds, tax rolls, public records, licensed vendors, customers, and model-based inferences. Names, investor-entity links, contact information, ownership, comp selection, ARV, estimated equity, values, rent, activity scores and predictions may be incomplete, stale or incorrect. Comps and estimates are informational, not certified appraisals or guarantees. We do not provide legal, tax, investment, brokerage, appraisal, title, underwriting or lending advice. Independently verify title, ownership, encumbrances, access, condition, square footage, financing and legal feasibility before relying on information or making an offer.
8. Marketplace Listings and Authority
Users may post properties, contracts or lawful real estate interests for sale or assignment, subject to feature availability. A listing user represents that they own the property or possess and accurately describe a legally marketable interest, or have authorization and licensing required to advertise it. Clearly identify whether the offering is a property sale, assignment of contractual rights, or other interest. Do not misstate title, ownership, affiliation, listing authority, status, price, ARV, rehab, rental projections, conditions or required disclosures. Users are responsible for permits, wholesaling, advertising and real estate licensing compliance. We may request substantiation, label content as unverified, suspend or remove listings and cooperate with lawful investigations.
9. Offers, Communications and Transactions
Kinder Dispo offers technology for users to submit, receive, review, respond to and communicate offers and counteroffers. Unless a separately implemented legally valid electronic contracting process expressly states otherwise, an in-app status, click, message, offer or purported acceptance is not itself a binding real estate purchase contract or waiver of state statute-of-frauds or signature requirements. Parties must independently execute legally sufficient written instruments and handle due diligence, deposits, title, closing, tax, commissions and disputes. We do not represent users, negotiate as their agent, verify buyer funds, hold escrow or earnest money, guarantee deals, provide brokerage services, or receive transaction-contingent compensation unless separately documented and legally authorized. The parties, not Kinder Dispo, are responsible for their deals. Nothing here immunizes our own actionable conduct.
10. Customer Content and Permissions
You retain ownership of property listings, uploaded documents, deal photos, messages, original notes, and contact lists you independently provide ("Customer Content"). You grant Kinder Dispo a nonexclusive worldwide license to host, process, transmit, back up, display to selected audiences, and otherwise use Customer Content as necessary to provide requested services, maintain safety and comply with law. Publicly listed or intentionally shared content may be visible to selected users. You warrant necessary rights to upload and share Customer Content; do not upload protected documents or personal information you lack authority to process. We may remove illegal or infringing materials. You may request deletion at https://kinderdispo.com/privacy-request subject to legal retention, backups, disputes and legitimate operational needs. We do not claim the right to resell confidential Customer Content as a standalone dataset merely because uploaded.
Copyright Complaints. If you believe content on the Platform infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent at [DMCA AGENT NAME, ADDRESS AND EMAIL]. We will remove or disable access to infringing material when appropriate, notify the user who posted it, and may terminate accounts of repeat infringers.
11. SMS and Text Marketing
When SMS tools are available, Customer is the party directing its campaigns and is responsible for recipients, marketing purpose, content, time of day, suppression and consent. Before sending, Customer must establish and document all legally and carrier-required permissions, including prior express written consent where applicable; screen against applicable national, state and internal do-not-call restrictions; and honor revocation by any legally effective reasonable method. A number obtained from Kinder Dispo, skip tracing, public records or a third-party list is NOT evidence of marketing consent. We may require documented consent, sender identity verification, A2P 10DLC or toll-free registration, use-case approval, branded opt-out language, and sample messages. Users must honor STOP and all other effective opt-out methods, avoid evasion and maintain suppression lists. We may block, throttle or suspend risky campaigns. Carrier approval does not establish legal compliance. Kinder Dispo remains responsible for any direct statutory obligations applicable to its own activities.
Text Messages From Kinder Dispo. If you opt in to receive account or service text messages from Kinder Dispo, message frequency varies and message and data rates may apply. Reply HELP for help or STOP to opt out at any time. Consent to receive marketing texts from Kinder Dispo is not a condition of purchase. We handle mobile numbers and SMS consent data as described in the Mobile Information section of our Privacy Policy.
12. Email Campaigns
Customer must use accurate sender and routing information, truthful subject lines, required advertising identifiers and a valid postal address, and provide a simple, functional unsubscribe mechanism for commercial messages. Honor unsubscribe requests promptly and within applicable statutory deadlines, including the CAN-SPAM ten-business-day limit where applicable, and any shorter provider rule. Do not charge for unsubscribing, use deceptive domains, conceal senders, harvest addresses unlawfully or bypass spam controls. Additional opt-in requirements may apply by location, provider, consent agreement, or other law. Customer remains responsible for its campaigns, including campaigns transmitted through third-party providers. Kinder Dispo may review sender reputation, bounces, complaints and compliance indicators, and restrict accounts or sending domains.
13. Marketing Eligibility and Campaign Certification
Before launching a campaign, Customer represents that it has the legal authority and necessary consents or other lawful basis for the particular recipients and channel; has performed required suppression screening; that the advertisements are accurate; and that it will process opt-outs. We may require a separate checkbox acknowledgement for each campaign and preserve campaign identifiers, authorization logs, opt-out and delivery events consistent with the Privacy Policy. Our technical screening is not a warranty of compliance. No system feature grants a legal exemption from telemarketing, privacy, spam or licensing rules.
14. Messaging Providers, Delivery, Usage and Charges
SMS, email, number provisioning, domains, carrier registrations, automation and third-party integration may have separate fees, credit allowances and restrictions displayed at purchase. Carrier filters, blocks, failures, delays, bounce events or recipients' devices can prevent delivery. We do not guarantee inbox placement, deliverability, opt-in rates, engagement, leads or closings. The applicable order form must describe when billable sending units are consumed and whether attempted, submitted, accepted or delivered messages count; no undisclosed fee rule is created by these Terms. Charges for third-party integrations or carrier registrations may be nonrefundable when properly disclosed. Customers may not manipulate complaints, sender IDs or domains to evade enforcement.
15. Subscriptions, Renewals, Cancellations, Refunds
Plan pricing, term, seats, quotas, data entitlements, additional credits, trial conditions, taxes and applicable billing disclosures are those shown in the checkout flow or order form. Where automatic renewal applies, you authorize recurring charges at the disclosed interval until cancellation. You can cancel through account billing controls at https://kinderdispo.com/settings/billing or support@kinderdispo.com, with effect at the end of the paid term unless applicable law or a separate order provides otherwise. Once you have subscribed and paid, all fees are final and nonrefundable, including fees for a partially used term, unused seats, features or credits, and cancellations made before the end of a paid term, unless a refund is required by applicable law or expressly promised by Kinder Dispo in writing, such as in a separate order form or promotional offer. Any free-to-paid conversion must be separately and clearly disclosed before acceptance. Renewal price changes take effect following required notice and ordinarily at the next renewal. Unpaid bills can result in proportionate service suspension after appropriate notice.
16. Prohibited Behavior and Platform Integrity
You may not post sham listings, impersonate others, circumvent access restrictions, probe or attack systems, upload malware, scrape, create fake users, send unlawful texts or email, violate privacy rights, engage in unlawful discrimination, conduct deceptive financial promotions, harass contacts, or use the Platform for illegal transactions. We may investigate credible misuse, preserve relevant evidence in accordance with law and suspend or terminate the affected access. We will attempt notice and cure where practicable, but may act promptly to protect recipients, providers and systems.
17. Third Parties, Integrations and AI
Third-party data vendors, registries, email/SMS providers, CRMs, payment processors and map services may have their own terms, restrictions and outages. We do not warrant third-party services beyond our own express obligations. Any AI-generated summaries, scores, recommendations or predictions may be wrong and must be verified. We do not use Customer Content to train artificial intelligence models made available to other customers unless you agree in writing or through an opt-in setting.
18. Privacy and Security
Our Privacy Policy describes our personal-information practices. You are responsible for protecting data downloaded or obtained through your account, access permissions and lawful retention. We use commercially reasonable controls appropriate to our operations, but no service is absolutely secure. A separate data processing agreement may be required for some customer-controller processing or regulated data. We may preserve and disclose information when legally compelled or as necessary to address security incidents and fraud, subject to applicable law.
19. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, SERVICES AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT OR ACCURACY. WE DO NOT PROMISE UNINTERRUPTED ACCESS, PERFECT RECORD MATCHES, CONTINUOUS DATA SUPPLY, SUCCESSFUL CAMPAIGNS, PROPERTY SALE, COMPLETED OFFER OR INVESTMENT RETURN. THIS DISCLAIMER DOES NOT LIMIT NONWAIVABLE LEGAL RIGHTS OR EXPRESS WARRANTIES IN AN APPLICABLE SIGNED AGREEMENT.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER KINDER DISPO NOR ITS AFFILIATES, PERSONNEL OR LICENSORS WILL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES OR BUSINESS INTERRUPTION. KINDER DISPO'S TOTAL AGGREGATE LIABILITY RELATED TO SERVICES WILL NOT EXCEED THE FEES PAID TO KINDER DISPO FOR THE AFFECTED SERVICES IN THE 12 MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY EXCEPT WHERE PROHIBITED BY LAW; THEY DO NOT EXCLUDE FRAUD, INTENTIONAL MISCONDUCT OR OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED. A SIGNED ENTERPRISE AGREEMENT MAY SET DIFFERENT LIMITS.
21. Indemnification
To the extent permitted by law, Customer will defend, indemnify and hold harmless Kinder Dispo and its personnel against third-party claims and reasonable legal costs arising from Customer's unlawful listings, unauthorized marketing of interests, content infringement, misuse or redistribution of data, unlawful SMS/email campaigns, failure to secure legally necessary consents, do-not-contact violations, and other material breaches of these Terms. We will provide reasonable notice and cooperation; Customer may not settle a claim imposing obligations on Kinder Dispo without consent. This does not cover claims to the extent attributable to Kinder Dispo's own breach, negligence or unlawful conduct, or liability that cannot be shifted by law.
22. Termination and Effects
You may discontinue use and cancel renewal at any time through the designated process. We may suspend or terminate for payment default, material breach, unauthorized resale, security threats, unlawful marketing or fraudulent listings. Where reasonably safe and lawful, we will provide a chance to cure. Upon termination, access and unconsumed features cease, subject to paid-term and nonwaivable rights. We may retain essential account, transaction, audit and compliance records for legitimate purposes under the Privacy Policy; user-accessible exports and listing data may be deleted under applicable retention schedules. Provisions addressing proprietary rights, lawful retained uses, restrictions, payments, indemnity, liability and disputes survive as applicable.
23. Dispute Resolution and Arbitration
Before formal proceedings, send a written dispute notice and allow 30 days for good-faith informal resolution. Except claims eligible for small-claims court, requests for provisional equitable relief, or claims not lawfully subject to arbitration, disputes will be decided by individual binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under applicable commercial rules. Arbitration is based in Charlotte, North Carolina, with remote proceedings when mutually agreed or required by law. EACH PARTY WAIVES CLASS, COLLECTIVE AND REPRESENTATIVE PROCEEDINGS TO THE EXTENT LEGALLY PERMITTED. A USER MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTANCE BY EMAIL TO ashburg@avontislaw.com IDENTIFYING THE ACCOUNT AND EXPRESSLY DECLINING ARBITRATION. If the class, collective and representative waiver is found unenforceable as to any claim, that claim will proceed in court rather than arbitration, and the rest of this section remains in effect. For nonarbitrable cases, courts of Mecklenburg County, NC or the Western District of NC, where jurisdiction exists, are the agreed venue unless law requires otherwise.
24. Updates and Legal Notices
We may amend these Terms by posting revisions and providing advance notice of material changes where required. Changes do not retroactively alter accrued rights or existing disputes without agreement. Continued access after a properly noticed effective date may indicate acceptance as permitted by law. Service, billing and security notices may be electronic. Marketing consent is separate from transactional notices and may be withdrawn under applicable law.
25. Miscellaneous
These Terms, the Privacy Policy, applicable order forms and properly incorporated policies constitute the agreement concerning the Services. A separately signed agreement controls an express conflict within its scope. Invalid clauses are severed without invalidating the rest. Failure to enforce a clause is not a waiver. Customer may not assign rights without consent; Kinder Dispo may assign in a bona fide merger or asset sale subject to law. The parties are independent contractors. There are no third-party beneficiaries unless expressly indicated. North Carolina law governs subject to federal preemption and mandatory applicable laws. Force majeure excuses delays beyond reasonable control but not accrued payments or nonwaivable obligations.
